What is a partnership agreement?
A partnership agreement (Civil Code, Arts. 776–793) is a document concluded by two or more persons to conduct joint business activities without forming a legal entity. The agreement covers capital contributions, profit distribution, management structure, exit mechanism, intellectual property rights, confidentiality obligations, and dispute resolution procedure.
